By accessing SORC Defence platforms, intelligence tools, and subscription services, you agree to the following terms and conditions.
1. Acceptance of Terms
By accessing or using any SORC Defence website, platform, intelligence tool, or subscription service (collectively, the "Services"), you confirm that you are at least 18 years of age, have the legal authority to enter into this agreement, and agree to be bound by these Terms of Use. If you are accessing the Services on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree to these terms, you must not use the Services.
2. Description of Services
SORC Defence provides defence procurement consultancy, geopolitical intelligence, export control advisory, sanctions compliance tools, NATO parts sourcing, and related subscription-based intelligence products. Access to certain features requires a paid subscription. SORC reserves the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.
3. Eligibility & Authorised Use
The Services are intended for use by defence procurement professionals, government ministries of defence, armed forces procurement directorates, licensed defence contractors, and compliance officers. Use of the Services for any unlawful purpose, including circumventing export controls, sanctions, or arms embargoes, is strictly prohibited. SORC reserves the right to terminate access immediately if misuse is suspected.
4. Subscriptions & Payment
Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law or as set out in the Subscription Billing Policy. Prices are displayed in USD. SORC reserves the right to change pricing with 30 days' notice. Failure to pay may result in suspension or termination of access. Chargebacks initiated without first contacting SORC may result in permanent account termination.
5. Intellectual Property
All content, intelligence briefs, risk assessments, data compilations, software, and materials available through the Services are the exclusive property of SORC Defence or its licensors and are protected by Canadian and international intellectual property laws. You may not reproduce, redistribute, resell, or create derivative works from any SORC content without prior written consent. Subscribers are granted a limited, non-exclusive, non-transferable licence to access content for internal professional use only.
6. Confidentiality
Certain intelligence products and briefings are provided on a confidential basis. You agree not to disclose, share, or republish SORC intelligence content to unauthorised third parties. This obligation survives termination of your subscription. SORC may mark specific content as classified or restricted; such markings carry additional handling obligations.
7. Export Control Compliance
You acknowledge that access to and use of certain SORC intelligence products may be subject to export control regulations including US ITAR, EAR, UK Export Control Order 2008, and applicable Canadian export controls. You represent that you are not a restricted or denied party and that your use of the Services complies with all applicable export control and sanctions laws. SORC screens all subscribers against consolidated sanctions lists.
8. Limitation of Liability
To the maximum extent permitted by applicable law, SORC Defence shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. SORC's total aggregate liability for any claim arising under these terms shall not exceed the fees paid by you in the 12 months preceding the claim. Intelligence content is provided for informational purposes only and does not constitute legal, financial, or regulatory advice.
9. Termination
SORC may suspend or terminate your access to the Services immediately and without notice if you breach these Terms of Use, engage in fraudulent activity, violate export control or sanctions laws, or if required to do so by law. Upon termination, your right to access the Services ceases immediately. Provisions relating to intellectual property, confidentiality, limitation of liability, and governing law survive termination.
10. Governing Law & Dispute Resolution
These Terms of Use are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute arising from these terms shall be subject to the exclusive jurisdiction of the courts of Ontario. You waive any objection to the laying of venue in Ontario courts.
11. Changes to These Terms
SORC reserves the right to update these Terms of Use at any time. Material changes will be communicated via email to registered subscribers or by prominent notice on the website. Continued use of the Services after the effective date of any changes constitutes acceptance of the revised terms.
